By accessing or using GuildGadgets ("the Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Platform.

You must be at least 13 years of age to create an account. To use marketplace, escrow, or Guild Coin features, you must be at least 18 years of age and legally capable of entering into binding contracts. By completing registration you represent and warrant that you meet these eligibility requirements.

Your act of checking the "I agree to the Terms of Service and Privacy Policy" checkbox during registration constitutes electronic consent to these Terms.

If you sign in via "Continue with Google" or another single-tap authentication method on the login page, your act of clicking that button — where the notice "By continuing, you agree to our Terms of Service and Privacy Policy" is displayed directly adjacent to it — also constitutes electronic consent to these Terms and to our Privacy Policy.

You are responsible for safeguarding your account credentials (username and password) and for all activity that occurs under your account. You agree to notify [[email protected]] immediately of any unauthorized use of your account or any other security breach.

GuildGadgets will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials.

You retain ownership of all content you submit to the Platform, including posts, comments, product listings, images, and messages ("User Content"). By submitting User Content, you grant GuildGadgets a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, display, reproduce, and distribute that User Content for the purpose of operating and improving the Platform.

You represent that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any applicable law. GuildGadgets reserves the right, at its sole discretion, to moderate, hide, or remove any User Content that it believes violates these Terms or is otherwise objectionable.

GuildGadgets acts as an intermediary that hosts user-generated content and facilitates user-to-user marketplace transactions. To the maximum extent permitted by applicable law, GuildGadgets claims safe harbor protection under Section 230 of the United States Communications Decency Act and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 of India.

GuildGadgets is not the author or publisher of User Content and is not liable for the content posted by users. Users are solely responsible for the content they create and share on the Platform.

GuildGadgets serves as a venue for users to list, discover, buy, and sell goods and to enter into contracts with one another. GuildGadgets is not a party to any transaction between buyers and sellers and does not take custody of goods.

GuildGadgets makes no guarantee regarding the quality, safety, legality, authenticity, or delivery of any listed item. Any dispute arising from a marketplace transaction must be resolved directly between the buyer and seller, subject to the contract terms agreed between them.

Guild Coins are a closed-loop, platform-internal virtual utility token. They may be earned through Platform activity or granted at GuildGadgets' discretion. Guild Coins have no real-world fiat value, cannot be purchased with real money, and cannot be redeemed or exchanged for cash, cryptocurrency, or any other store of value.

Guild Coins are not a security, financial instrument, or investment. GuildGadgets may modify, suspend, or terminate the Guild Coin system at any time without compensation.

Moderators of GuildGrid and its Subgrids are community volunteers, not employees, agents, or representatives of GuildGadgets. GuildGadgets does not direct or control moderator enforcement decisions and is not liable for them.

GuildGadgets reserves the right to grant, restrict, or revoke moderator privileges at its sole discretion, including in cases of abuse of moderator powers.

You agree not to use the Platform to:

• Post illegal, infringing, harassing, or otherwise objectionable content;
• Engage in spam, fraud, impersonation, or deceptive practices;
• Infringe the intellectual property rights or privacy of others;
• List prohibited, counterfeit, stolen, or illegal goods on the marketplace;
• Attempt to bypass marketplace escrow, Guild Coin rules, or Platform fees;
• Distribute malware, scrape the Platform, or disrupt its operation.

Violations may result in content removal, account suspension, or permanent termination, as further described in the Community Guidelines.

The GuildGadgets name, logo, software, and visual design are the intellectual property of GuildGadgets. You may not use them without prior written consent.

If you believe that User Content on the Platform infringes your copyright, you may submit a takedown notice under the Digital Millennium Copyright Act (DMCA) to [[email protected]]. A valid notice must include your contact information, identification of the copyrighted work, identification of the allegedly infringing material, and a good faith statement that the use is unauthorized.

The Platform is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

To the maximum extent permitted by law, GuildGadgets shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including any losses arising from marketplace transactions or Guild Coin balances. You agree to indemnify and hold harmless GuildGadgets from any claims, damages, or expenses arising out of your User Content or your violation of these Terms.

These Terms are governed by the laws of [JURISDICTION], without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, the dispute shall be resolved through binding arbitration conducted in [ARBITRATION_VENUE], and judgment on the arbitration award may be entered in any court of competent jurisdiction.

GuildGadgets may modify these Terms from time to time. Material changes will be notified through the Platform. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.

You may close your account at any time through the Platform settings. GuildGadgets may suspend or terminate your account at any time, with or without cause, including for violations of these Terms.

The following sections survive termination: Account Security, User-Generated Content & License, Marketplace Venue Disclaimer, Guild Coins, Limitation of Liability & Indemnity, Governing Law, and any other provisions that by their nature should survive.
